Equity Crowdfunding for Investors

A Guide to Risks, Regulations, Funding Portals, Due Diligence, and Deal Terms

By David M. Freedman and Matthew R. Nutting

Published by John Wiley & Sons, NY, 2015

The Jumpstart Our Business Startups Act of 2012 ushered in a new era of angel investing. Title III of the JOBS Act allows all investors, regardless of their net worth or income, to invest in innovative startups and growing small companies, through equity crowdfunding portals. The SEC approved final rules under Title III in 2015, and funding portals featuring Title III offerings launched in 2016.

This book covers not only Title III equity crowdfunding but also Regulation D offering platforms (including Title II offerings) and intrastate equity crowdfunding portals — now authorized in most states and the District of Columbia.

The book was published in 2015, and the authors posted a 2016 Supplement here. "As of mid-2019, this is still the most comprehensive and thorough book for equity crowdfunding investors that I have come across," wrote Brian Belley, founder of the Crowdwise website.
